REE CREATIVE TERMS & CONDITIONS

This website is operated by Ree Creative. Throughout the site, the terms “we”, “us” and “our” refer to Ree Creative. Ree Creative offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here. By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”). These Terms of Service apply to all customers of Ree Creative.

1. MARKETING & PROPERTY RIGHTS (INCLUDING COPYRIGHT, EXCLUSIVITY AND COMMERCIAL USE)

Ree Creative reserves the right to use images or videos of all designs, creative work and prints for marketing purposes including Social Media, Website and all aspects of Advertising. Ree Creative may post or upload projects once finalised unless agreed otherwise by both parties in writing.

 

The parties acknowledge that this agreement is non-exclusive and that either party will be free, during and after the term, to engage or contract with third parties for the provision of services similar to the project. 

 

Ree Creative holds and retains intellectual property rights of designs and prints whether complete or incomplete. Ree Creative reserves the right to reuse any ideas or cancelled artwork for additional or subsequent projects. All client's will receive commercial rights to use their designs for marketing and print purposes once project has been finalised.

Clients receive a non-exclusive, perpetual license to use the final designs for their intended commercial purposes, including marketing, print and digital media. Clients may not resell, sublicense or distribute the designs to third parties without express written permission from Ree Creative.

2. SUPPLYING IMAGES & COPY

All artwork, images and copy supplied by the client, will be assumed to include the relevant authority for use. Ree Creative will accept no responsibility for copyright issues regarding supplied artwork, images and copy. The client is responsible for supplying content and ideas free from infringement for all trademarks, service marks and copyright. The client is responsible for supplying finalised copy for all designs being created by Ree Creative prior to project confirmation and due date. Changes to provided text will count towards a revision. Text changes after design approval will incur an additional revision cost. Acceptance and approval of a project, post or final design will constitute any legal responsibility over the final designs.

Clients must provide all necessary content, assets and instructions in the required format and within agreed timeframes. Delays or additional costs arising from late, incomplete, or unsuitable materials may result in project timeline extensions and/or extra fees.

​

3. DESIGN FEE

Fees quoted only for professional services will be approved or denied by the client upon commencement of the given project. Design quote DO NOT include purchases of stock photos, fonts, artwork, products, colour-matching or extra add ons after processing the agreed services. Additional expenses will be itemised on relevant invoices or you will be notified via email if added on during the process.

4. INVOICES

Invoices and quotes given by Ree Creative will be valid for up to 7 days after they are issued. Ree Creative reserves the right to adjust prices in any quotation once the expiry period has passed and fees have not been confirmed. 

 

5. PAYMENT

Ree Creative requires full payments upfront to secure orders and schedule due dates for designs unless discussed otherwise. Payments can be made via credit card payments or bank transfer. We would appreciate if you could please include your invoice number as payment description when arranging the amount via bank transfer and send us a copy of the payment receipt/screenshot of the payment to sales@reecreative.com. It will allow us to escalate the process as sometimes the banks take a few days for transactions between different banks.

Payments are due as specified; late payments may incur additional fees or suspension of services until payment is received. Initial deposits or payments made after project commencement are non-refundable except at Ree Creative’s discretion.

​

6. MODIFICATIONS TO PRICE

Prices of our products and services are subject to change without notice.

 

7. REFUNDS

Due to the digital and customised nature of our products we are unable to offer full refunds after the project has commenced and design drafts have been delivered. If the client wishes to cancel their order due to change of mind before work has commenced a 50% payment of the total cost will be kept.

8. PROJECT TIME FRAMES, PASUED & CANCELLATIONS

8.1 Projects will be scheduled after payment has been received (Generally 5-7 business days from payment for start dates). Custom Design total timeframes vary. We will always aim to work within the requested timeframe. Responding quickly to our emails will speed the process up. Rush fees may be necessary to meet deadlines if we are busy, as designs are completed in order of purchase.
 

8.2 All projects have an expiry period of eight (8) weeks from the date of payment unless otherwise agreed in writing. If a project is delayed or not completed within this timeframe due to a lack of communication, feedback or required materials from the client, the project will expire and any completed or in-progress designs will be forfeited and must be repurchased to recommence.

It is the client’s responsibility to respond promptly to all communications from Ree Creative and to provide feedback, approvals and materials within requested timeframes to avoid delays or expiry.

​

If a project becomes inactive for a period of twenty-one (21) consecutive days due to client non-responsiveness, the project will be automatically paused. If the project remains inactive and exceeds the eight (8) week project timeframe, it will be automatically closed and archived.

​

Should the client wish to resume a closed or archived project, a project reopening fee of thirty percent (30%) of the original project value will apply, in addition to any revised costs required to complete the work.

​

9. RUSH ORDERS

If you need your order urgently, please keep in mind we have a rush order fee and this will depend on size of job and date required.  Email enquiries@reecreative.com and we will do our best to meet your time frame.

​

10. ELECTRONIC COLOUR AND VIEWING

All drafts will be emailed to the client as a low resolution files. Please be aware that all monitors display colour differently and the colour on a monitor could vary significantly from the final print. To ensure that the colour is correct, it is highly recommended that the client provides the Pantone colour and requests colour- matching service.

11. LOGO COLOUR

Logos will be sent in a choice of one colour background and black/white background. Watermarks and highlight covers include one colour choice only. To have the option of 2 or more colour choices an extra fee will apply.

​

12. DESIGN FILE TYPES

The included file types for all designs will be stated on the invoice and confirmed before payment. Typically all logo designs will be sent as PNG and PDFs (JPEG if requested). Graphic designs will vary between PNG, JPEG and PDFs. For EPS, AI or any other special requested files extra fees will apply. Please note that all drafts and logo options not confirmed will remain property of Ree Creative and are not be used online unless added onto the project at an additional charge.

13. FILE STORAGE & ARCHIVING

Ree Creative archives project and design files for a period of up to six (6) months as part of its production process. Once final design files or editable links have been delivered, full responsibility for downloading, storing, archiving and backing up all files transfers to the client.

​

Ree Creative is not responsible for lost, misplaced, deleted or corrupted files after delivery. Requests to resend files that have already been delivered may incur additional charges, subject to file availability within the archive period.

​

For services that include editable template links, access to the original design files is provided via the editable link only. Ree Creative does not retain separate saved copies of editable template files once the project has been approved and completed. If an editable template is deleted, altered or compromised for any reason, the template will need to be recreated and will incur a fee equal to fifty percent (50%) of the original design fee.

​

Clients are strongly advised to duplicate editable templates within their own Canva account immediately upon delivery to prevent loss of original designs.

​

Unless expressly stated otherwise in writing, Ree Creative does not retain editable or working files beyond the project duration and accepts no liability for file loss, deletion or damage after handover.

​

14. REVISIONS

Each design package includes a set number of design concepts and revision rounds as outlined in the selected package. Any revisions requested beyond the included rounds will incur additional charges. All additional revision fees must be approved by the client in writing and paid in full prior to commencement of the additional work.

​

Ree Creative is not responsible for any revisions, amendments or changes requested after final files have been delivered to the client.

Revisions exceeding the included rounds must be approved in writing. Any requests that constitute a scope increase, additional deliverables or new work will be quoted separately and may be treated as a new project.

​

Revision Inclusions

  • Brand Suite: 4 initial design options and up to 3 rounds of revisions

  • Graphic Design & Social Media Design: Generally 1–2 design options and up to 3 rounds of revisions

​

Clients are responsible for confirming the number of revisions included in their selected package prior to commencement. Exceeding the included revisions may result in additional fees.

​

To avoid unnecessary revisions, clients are required to provide a clear, detailed brief and constructive feedback. Lack of clarity or changes in direction may result in additional charges.

​

Revision Limitations
Revisions do not include new concepts, changes to brand direction, reworking or replacing approved designs, or rewriting the project in its entirety. Any significant changes or additions outside the original approved brief, particularly after submission of the design brief or delivery of first drafts, will require a new quote and may be treated as a separate project.

All revision requests must be submitted within twenty-one (21) business days of receiving design drafts or revisions. Failure to provide feedback within this timeframe may result in project delays, project closure or additional fees to reopen the revision phase.

15. DESIGN DRAFTS AND UNDERSTANDING REE DESIGN STYLE

All drafts, options and revisions not yet confirmed by the client remain property of Ree Creative. When posted on social platforms and utilised elsewhere (Print, Website etc)  this is automatic confirmation that designs have been approved and further revisions will be charged additionally. 

​

By agreeing to our terms of services, the client acknowledges that there may be similarities or common elements in the final logo design to the overall house style or previous designs by our team. While we strive to create unique and original designs for each client, it is possible that certain elements, such as colour schemes, typography choices or design concepts, may be consistent across different projects. We will, however, make our best effort to ensure that the final logo design is distinct and tailored to the client's specific vision and requirements.

16. BUSINESS NAME REGISTRATION (CHANGE OF BUSINESS NAME, TRADEMARKING ETC)

Under the terms of this contract, the client takes full responsibility for carefully choosing an original and legally acceptable business name, ensuring it does not infringe on others' intellectual property rights, like trademarks and copyrights.

 

Before finalising the chosen name, the client should thoroughly search existing trademark and trade name databases to confirm its uniqueness within the relevant jurisdiction.

 

If the client decides to register the business name as a trademark, they are responsible for initiating and completing the trademark registration process with the appropriate authorities. Please note that the success of this registration depends on following jurisdiction-specific rules and is not guaranteed.

 

Prior to starting your design project with Ree Creative, we ask that you take all the necessary measures to confirm your business name. Once payment has been confirmed and the design process has begun, any changes to the business name will incur a 100% logo design fee to redo designs with the new business name. If changing a logo on other branding, social media or web designs, revision fees will apply per design.

 

Should any claims, damages or liabilities arise due to mistakes in name selection, registration or usage, including trademark disputes and violations of intellectual property rights, the client acknowledges that they are accountable and Ree Creative is not responsible.

 

It is highly recommended that the client seek professional legal advice to get guidance on the name selection, registration, and usage process. Ree Creative does not provide legal advice or guarantee the availability of the chosen name.

17. TRADEMARKING & BRAND PROTECTION

Please note that delivery of your logo and brand assets does not include trademark registration or legal protection. Trademarking is a separate legal process and remains the responsibility of the client. If protecting your brand is important, we recommend seeking independent advice or contacting IP Australia or a registered trademark professional.

When you pay a designer, you are paying for creative work; legal protection only comes from trademark registration.
 

Logo Design vs Trademark

A logo design provides:
• A visual brand identity
• Files you can use for marketing
• Ownership of the design work (once agreed)

 

A trademark provides:
• Legal protection of your brand
• Exclusive rights in your industry
• The ability to prevent others from using similar names or logos

18. PROJECT APPROVAL AND RELEASE OF LIABILITY RELATING TO PROJECT

Whilst every care will be taken, no responsibility will be accepted by Ree Creative for errors found after final approval by the client (Spelling mistakes, misalignment, incorrect information etc). This includes change of mind. Artwork approval/confirmation must be emailed to Ree Creative before final files are sent or printing is commenced. Once final files have been sent additional fees will apply per revision requested. 

 

Additionally, upon project approval, all liability is exclusively assumed by the client/business owner. Ree Creative shall be held free from any and all liabilities that may arise from the work produced. Approval is considered full and final, relieving Ree Creative of any further responsibility or accountability related to the project should any legal implications arise.

19. INDUSTRY GUIDELINES & ACCURACY OF INFORMATION

The Client is solely responsible for ensuring that all information, claims, instructions and representations provided to the Agency comply with the relevant industry guidelines, advertising regulations and legal requirements. This includes but is not limited to AHPRA, TGA, Fair Trading, ACCC, privacy legislation and any other standards applicable to the Client’s industry.

The Agency will create content based on the information supplied by the Client and accepts no liability for any inaccuracies, non-compliance or misrepresentations within the materials provided. The Client must review and approve all final content before publication to ensure accuracy, compliance and suitability for use. if client provides any copy that violates regulations (e.g. makes unsubstantiated health claims, suggests cures, or promotes prescription-only medicines), your agency will have no internal requirement to catch or reject it.

​

By engaging our services, the Client acknowledges and agrees that it is their responsibility to provide correct, complete and compliant information at all times. Once content is approved, the agency is not liable for any comments, user interactions, or platform changes.

​

20. ERRORS

It is the client’s responsibility to check all proofs carefully for accuracy. The client’s e-mail of approval is acknowledgement that the proof has been evaluated and considered correct in every aspect. There will be no remedy from Ree Creative for errors or omissions carried over from approved proof to final files and print. We have no requirement for ongoing monitoring (post-publication) for adverse events, complaints, or regulatory updates. This is the clients responsibility.

21. IMDEMNIFICATION

Upon approval of the project, the client/business owner agrees to indemnify and hold Ree Creative harmless from any and all liabilities, claims, losses, damages or expenses that may arise from the work produced. The client/business owner assumes full responsibility for any legal or financial consequences associated with the project. Approval constitutes full acceptance and Ree Creative shall be indemnified against any further liabilities related to the project.

​

22. INTERNATIONAL CLIENTS (IMPORTANT)

We apply a 10% international premium for all non-Australian clients, including clients based in the United States. This premium covers additional time, administration, communication requirements and coordination associated with operating across time zones and international jurisdictions.

All international clients acknowledge and agree to the following:

​

a. Jurisdiction & Governing Law
All services provided by the Agency are governed exclusively by the laws of New South Wales, Australia. By engaging our services, the Client agrees that any disputes, claims or matters arising from this agreement must be resolved under NSW law and within Australian jurisdiction only.
No legal proceedings may be initiated against the Agency in any international or foreign court.

​

b. Limitation of Liability
The Client acknowledges that all work, recommendations and deliverables are created based on the information provided by the Client. The Agency accepts no liability for:

  • any loss, damage or consequences arising from the Client’s use of materials outside Australia

  • any breach of local, federal or industry-specific regulations in the Client’s country

  • any interpretations, compliance requirements or legal obligations outside Australian standards

All responsibility for local compliance, accuracy, legality and suitability of content within the Client’s country rests solely with the Client.

​

c. Regulatory & Compliance Obligations
The Agency does not guarantee compliance with advertising, medical, beauty, financial or industry regulations outside Australia. It is the Client’s duty to ensure all submitted information, claims and content meet the legal requirements of their respective region. The Agency will not be held liable for penalties, legal action or regulatory issues occurring in international markets.

d. Indemnity
The Client agrees to indemnify and hold the Agency harmless against any international claims, legal disputes, penalties, damages or liabilities arising from the Client’s use of the Agency’s work outside Australia.

​

By proceeding with our services, all international clients acknowledge, accept and agree to these conditions.

​

23. CONFIDENTIALITY
Both parties agree to keep confidential all sensitive information shared during the course of the project and agree not to disclose such information to any third party without prior written consent, except as required by law.

​

GOVERNING LAW

24. These Terms shall be governed by and construed in accordance with the laws of NSW, Australia. Any disputes will be subject to the jurisdiction of its courts.

In the event of a disagreement, the parties agree to attempt good-faith negotiation and, if unresolved, proceed to mediation before any court action.

​

25. FORCE MAJEURE:
Ree Creative shall not be held liable for delays, non-performance or cancellation due to circumstances beyond its control, including illness, equipment failure, natural disasters, or government restrictions. In such cases, services will be rescheduled or renegotiated in good faith.

​

26. SERVERABILITY

If any provision of this Agreement is found to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.

​

27. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties relating to the subject matter herein and supersedes all prior agreements, communications, and understandings, whether oral or written.

​

28. RIGHT TO TERMINATE

Ree Creative reserves the right to immediately suspend or terminate any agreement, project or service, without notice, if a client engages in behaviour that is deemed abusive, harassing, threatening, discriminatory or otherwise hostile toward Ree Creative, its team members, contractors or representatives.

​

This includes, but is not limited to, inappropriate conduct via phone calls, emails, messages, in-person interactions or any other form of communication, as well as any attempt to manipulate, intimidate, pressure or coerce staff.

​

In the event of termination under this clause, all work completed to date will remain payable and no refunds will be issued for services rendered or time already allocated. Ree Creative reserves the right to refuse any future services to the client.

​

PRINTING

​

1. PAYMENT & PROOF

Once we have received the printing payment and final artwork/design has been confirmed for print, your project will move into production. Changes cannot be made once final approval has been given. Proof Approval triggers the production process. Any changes or cancellations after final approval will incur additional charges. 

 

2. FULL-COLOUR PRINTING 

There may be some slight colour variations from what you have seen on screen to what the final product looks. There may also be some colour variations from product to product. This is due to the display of different monitors, the nature of printing and bulk-run printing systems. There will not be refunds or reprints at the expense of Ree Creative for colour variations in the full-colour printing process unless informed or discussed otherwise by Ree Creative. All of our prints are quality checked and will be reprinted if they do not meet Ree Creative standards.

3. PRINT ERRORS AND QUALITY ISSUES

Whilst all care is taken when printing, all third party printing errors and quality issues will be an issue of the third party and not Ree Creative after final approval of print designs are confirmed by the client. If the client is unsure about the quality of the cards being purchased it is their responsibility to request a sample pack to assess the quality themselves. (Sample packs available for $15) All printed products sent out by Ree Creative are quality checked by our team. If you receive your order your prints have been approved and are up to Ree Creative standard. Any prints that do not meet Ree Creative standard will be reprinted at no additional charge. 

 

If for whatever reason you are still unhappy with the quality we will happily contact the third party print company on your behalf about any given issues, however we can make no promises that issues will get resolved without further costs. Ree Creative takes no responsibility to these extra costs.

​

Once final proof approval is provided by the client, all third-party production and printing responsibilities, including quality control and fulfillment, are the client’s responsibility. Ree Creative will assist in communication with the printer if issues arise but does not assume liability for costs or resolution outcomes.

 

4. PRINTING TURNAROUND

Standard printing turnaround is 10-14 business days (estimated) plus delivery.  High quality business cards and additional printing options such as foiling, spot gloss, letterpress and square business cards may have an extended timeframe as these processes take longer to produce. Generally  14-20 business days (estimated) plus delivery from approval of design.

​

Please note: This delivery timeframe only begins once we have received FINAL proof approval from you to move forward with printing- NOT the day of enquiry or initial proof. This timeframe includes production and packing time. If your job is urgent, we highly recommend you to confirm the final proof ASAP to prevent delays.

 

5. DELIVERY

Ree Creative is not liable for any extra shipping fee caused by an incorrect address. If you haven't provided a shipping address, please do so with your payment receipt.

While Ree Creative makes every effort to get your order to you as soon as possible, this delivery timeframe is in no way a promise or guarantee of delivery time. If there are any unforeseen delays or concerns with your order once posted (including the rare case of your order not arriving), Ree Creative is not liable as we have no control once it's with the Postal Service. The shipping fee is strictly non-refundable.

 

Ree Creative is not liable for any shipping delays, loss, or damages once the items have left our facility and are in the possession of the postal or courier service.

​

6. INTERNATIONAL ORDERS   

Import duties, taxes and charges are not included in the item price or shipping cost. These charges are the buyer's responsibility. Please check with your country's customs office to determine what these additional costs will be before bidding or buying.

Kindly be advised that in the event of any unforeseen future issues or concerns necessitating reference to the contract, a PDF copy must be requested within 48 hours of signing. This is highly advised. Alternatively, you may choose to save your own copy at the time of signing. For such requests, please contact us at info@reecreative.com. It is important to note that, owing to our digital agreement system, emailed copies are furnished solely upon request. Otherwise, you may opt to access the terms online at any time through the provided link or save a personal copy for your records. This decision will remain solely up to you.
