1. GENERAL AGREEMENT

These Terms and Conditions govern the obligations and relationship between Ree Creative and the client specified in the quotation. By confirming and making payment, you acknowledge and accept all the terms and conditions set forth by Ree Creative. If you have any questions, please contact us at info@reecreative.com. 2. MARKETING & PROPERTY RIGHTS

Ree Creative reserves the right to use images or videos of all designs and prints for marketing purposes, including Social Media, Website and other advertising channels. Ree Creative holds complete intellectual property rights over the design, whether it is complete or incomplete. 

 

3. SUPPLIED ARTWORK, IMAGES & COPYWRITING

All artwork, images, and copywriting provided by the client are assumed to include the necessary authority for use. Ree Creative shall not be held responsible for any copyright issues arising from the client's supplied artwork, images or copy. The client is responsible for ensuring that the content and ideas supplied are free from infringement of trademarks, service marks, and copyright.

 

4. WEBSITE SECURITY & PERFORMANCE

Ree Creative will implement industry-standard security measures to protect the business website from unauthorised access, malware and other threats, however, the client acknowledges that no system is entirely immune to security risks and Ree Creative shall not be held responsible for any security breaches or damages resulting from such breaches. Ree Creative will make reasonable efforts to ensure the optimal performance and availability of the website. The client acknowledges that occasional downtime or technical issues MAY occur and Ree Creative shall not be held liable for any resulting loss of business or inconvenience. 

 

5. PROCESSING YOUR WEBSITE DESIGN PROJECT WITH REE

Ree Creative will commence work only after receiving written confirmation to proceed with the design quotation, signature of these terms and a 50% deposit for the to confirm the project. The final payment is due upon completion of the website and before it goes live and the domain is connected. The payment must be made within the agreed timeline between the client and the agency; otherwise, late fees will apply. Approving and paying the quoted deposit amount as specified in the invoice will establish an agreement between Ree Creative and the client as well as the signature at the bottom of this form.

 

6. WEBSITE DESIGN FEE

Web design fees cover design and production by Ree Creative. Please note the fees paid and quoted do not include annual hosting fees (Shopify/Wix) or additional add-on systems such as management of booking systems, social media feed attachments and others. Furthermore, the quote does not include SEO, Google Ads or similar marketing features unless discussed otherwise. The fee paid does not cover the purchase of stock photos, fonts, artwork, products, printing or additional add-ons beyond the agreed deliverables. Any additional expenses will be communicated to the customer before taking action. Please note that additional quotes may be provided if applicable, either during the initial inquiry or throughout the process as they come up. 

 

7. PAYMENTS & REFUNDS

Design fees are divided into two separate payments. A non-refundable deposit is required before work commences to secure the timeline, and the final fee is due before the website goes live at the request of Ree Creative. Refunds on the deposit payment are not offered under any circumstances due to the digital nature of the product and service and securing the timeline which blocks out from other projects to take place within this time. If the client wishes to cancel their order after the deposit payment, the deposit will be forfeited and cannot be redeemed at a later date. A full design fee will be required to start a new project or commence at a later date. Please note that once a draft has been delivered to the client, the final payment must be fulfilled within the agreed timeline, even in case of a change of mind or decision to not commence with the website after the draft has been delivered.

 

8. HOLDING, CANCELLATIONS & PAYMENT DELAYS

Once the design work has commenced and draft has been delivered, no cancellations, change of mind or holding is permitted otherwise full payment required to be fulfilled to terminate the project. The website design projects are to be completed within 1-3 months/12 working weeks from the deposit date unless otherwise agreed upon with written approval between the business/client and designer. If no action is taken within these 12 weeks due to client lack of communication or otherwise, the web design project will expire, and the client will still be required to pay the final payment along with any accrued late fees. A fee of $200 per week will be charged for project delays beyond the 12-week mark. Third-party action may be taken if necessary. We ask that clients moving forward have all commitment to proceeding with the works in the agreed timeframe.

 

9. TIME FRAMES

Time frames for the website design process will be discussed with the client on an individual basis but typically range from 4-12 weeks, depending on the complexity of the design, size of the website and also the required content completion, such as imagery and final drafts of copywriting. Rush fees may apply to ensure that the website is finished and live in time for specific deadlines (e.g., Needing a website in under 3 weeks). Please enquire for pricing according to your situation.

 

10. WEB DESIGN DRAFTS & PROCESS UPDATES

All web design drafts and previews will be presented to the client via a preview link, and three rounds of revisions are included as part of the website process. Please note that additional work on the website may incur additional costs due to the extra time required. We will strive to achieve your desired results within the included revisions. Phone calls to discuss changes are also available upon request. Please communicate your preference directly and we will do our best to accomodate promptly to give you the best and convenient experience.

 

11. HOSTING

Hosting is essential for making your website viewable on the world wide web through a domain name. We build websites using either Wix or Shopify and your website will be hosted by either one of these providers or other domain hosts like Go Daddy or Crazy Domains, upon going live. Hosting is an ongoing cost for the lifetime of your website. All providers offer monthly or yearly plans, allowing you to choose the option that best suits your needs. Payments for hosting are to be made directly between yourself and the host provider. Ree Creative has no responsibility for the website-host provider relationship once the design has been completed. Please let us know if you have any questions regarding this. 

 

12. DOMAIN NAME

To have your own business domain name (e.g.,www.reecreative.com), you can either purchase and register it for us to connect to your website, or we can handle the purchase during the design process. Please discuss the best way to purchase your domain name with your designer. 

 

13. ADDITIONAL WORK AND UPDATES

Any additional work or updates required after the website has gone live will need to be purchased separately unless otherwise agreed upon between the client and Ree Creative.

 

14. WEBSITE SUPPORT

All websites include ongoing email and phone support during the design process. While business owners can access the logins, we highly recommend not making any edits to the website elements yourself to maintain its quality. For information regarding amendments after the website goes live, please contact us at info@reecreative.com.  Please note that depending on the amendments or additions required on the website, you will be advised if this is a minor or major update. Please refer to section 17.

 

15. APPROVAL

Whilst every care will be taken, Ree Creative shall not be held responsible for errors found after final approval by the client, such as spelling mistakes, misalignment, payment errors, or shipping errors. Rectifying these errors will be counted as minor fix-ups and may incur additional charges. Ree Creative will make every effort to ensure your website goes live at the highest quality to minimise such issues.

 

16. ERRORS & ACCURACY

It is the client's responsibility to carefully review all proofs for accuracy. The client's approval via email indicates that the proof has been evaluated and considered correct in every aspect. Ree Creative will not be held responsible for errors or omissions carried over from the approved proof once the website goes live.

 

17. WEBSITE UPDATES

Web designs by Ree will include three complimentary minor updates within one year of the website going live. Ree Creative will determine whether an update qualifies as "minor" and provide the appropriate solution. Some updates may incur additional fees, depending on their complexity. Minor updates may include adding a paragraph, staff member information, changing a phone number, altering the front image banner, fixing misalignments or correcting spelling mistakes. Major updates may be adding a page, adjusting the template or structure of the website, adding an app etc.

CONDITIONS FOR E-COMMERCE WEBSITE AND ENTERING PAYMENT DETAILS

E-COMMERCE WEBSITE ADDITIONAL CONDITIONS

  1. Product Information: The client is responsible for providing accurate and up-to-date information about the products to be sold on the e-commerce website, including descriptions, images, prices, and availability.

  2. Legal Compliance: The client agrees to comply with all applicable laws and regulations regarding the sale of products through the e-commerce website, including but not limited to consumer protection laws, privacy laws, and intellectual property rights.

  3. Inventory Management: The client is responsible for managing the inventory of products and ensuring that the e-commerce website reflects accurate stock levels. Ree Creative will provide guidance on inventory management tools and techniques.

  4. Product Shipping: The client is responsible for establishing shipping methods, costs, and delivery times for the products. Ree Creative will assist in integrating shipping providers and setting up shipping calculations if required.

  5. Order Processing and Customer Support: The client agrees to promptly process orders received through the e-commerce website and provide timely customer support, including responding to inquiries, handling returns and exchanges, and addressing customer concerns.

  6. Security and Privacy: Ree Creative will implement industry-standard security measures to protect customer data and ensure secure online transactions. However, the client acknowledges that no system is completely secure, and Ree Creative shall not be held liable for any unauthorised access or data breaches.

  7. Website Performance: Ree Creative will make reasonable efforts to ensure the smooth operation and performance of the e-commerce website. However, the client acknowledges that occasional downtime or technical issues may occur, and Ree Creative shall not be held responsible for any resulting loss of sales or inconvenience.

 

PAYMENT DETAILS FOR E-COMMERCE WEBSITE

  1. Payment Gateway Integration: Ree Creative will integrate a payment gateway into the e-commerce website to facilitate online transactions. The client is responsible for selecting a suitable payment gateway provider and complying with their terms and conditions.

  2. Transaction Fees: The client acknowledges that the chosen payment gateway provider may charge transaction fees or commissions for processing online payments. These fees are separate from the fees charged by Ree Creative for website development and maintenance.

  3. Payment Security: Ree Creative will implement necessary security measures to protect online payment transactions. However, the client acknowledges that Ree Creative does not directly handle or store sensitive payment information, such as credit card details, and therefore cannot guarantee complete security of such data.

  4. Refunds and Disputes: The client agrees to handle all customer refunds or disputes related to online payments in accordance with the policies and procedures of the chosen payment gateway provider. 

  5. Payment Processing Errors: In the event of payment processing errors or technical issues, the client agrees to promptly notify Ree Creative so that appropriate measures can be taken to resolve the issue.
     

By proceeding with the development of an E-Commerce website, the client acknowledges and agrees to abide by the above conditions for the E-Commerce website and payment processing.

COPYWRITING AGREEMENT

The following disclaimer outlines the terms and conditions governing the use of our copywriting services. By engaging in our services, you agree to abide by these terms:

  1. Scope of Services: Our copywriting services are designed to provide creative and professional written content tailored to your specific needs. While we strive for accuracy and effectiveness, we cannot guarantee the success of any content in achieving your desired outcomes such as conversions and more.

  2. Client Responsibilities: It is the client's responsibility to provide accurate and comprehensive information necessary for the creation of content. Any delays or inaccuracies in providing necessary details may affect the delivery timeline and quality of the work.

  3. Revisions: We offer an opportunity of two rounds of revisions to ensure your satisfaction with the final product. However, excessive or substantial revisions beyond the agreed-upon scope will be subject to additional charges.

  4. Originality and Plagiarism: We commit to delivering original and unique content. Clients are responsible for verifying the originality of the content and we are not liable for any consequences resulting from issues related to plagiarism or copyright infringement. We do our absolute best to avoid this however approval of works will hold the client liable.

  5. Confidentiality: We respect the confidentiality of our clients and their projects. However, we cannot guarantee the security of information transmitted electronically and clients are advised to take appropriate measures to protect sensitive data.

  6. Payment Terms: Payment terms, including fees and deadlines, will be agreed upon before the commencement of any project. Failure to adhere to these terms may result in delays or termination of services.

  7. Termination of Services: We reserve the right to terminate services at any time due to unforeseen circumstances, failure to meet payment obligations, or any violation of these terms. 

  8. Limitation of Liability: We will not be held responsible for any direct, indirect, consequential, or incidental damages arising out of the use or inability to use our services. This includes but is not limited to loss of data, loss of profits or business interruption.

  9. Client Approval and liability: Clients are responsible for reviewing and approving the final content before use. Once content is approved by the client, they become 100% liable for its use and any associated consequences. The responsibility for the appropriateness, accuracy, and legal compliance of the approved content rests solely with the client. We are not liable for any issues or consequences that may arise from the use of content that has not been approved by the client. It is the client's duty to ensure that the approved content aligns with their objectives, meets regulatory requirements and is suitable for their intended purpose. By approving the content, the client acknowledges full ownership of the responsibility associated with its use.  We strongly advise clients to conduct thorough reviews before providing their approval, as any modifications or additional work required after approval may be subject to additional charges. This clause emphasises the client's accountability once content is approved, making it clear that the business owner assumes full responsibility for the consequences of using the approved content.

 

18. ASSUMPTION OF RESPONSIBILITY

The client acknowledges and agrees that they are solely responsible for any outcomes, consequences or issues arising from the use of the services provided by Ree Creative. This includes, but is not limited to, the content, functionality, and performance of any digital assets or platforms developed on their behalf.

19. EXCLUSIVITY OF LIABILITY

All liability, whether direct or indirect, foreseeable or unforeseeable, is exclusively assumed by the client. Ree Creative shall not be held responsible for any damages, losses, or legal consequences incurred by the client as a result of utilising our services.

 

20. LIMITATION OF REE CREATIVE LIABILITY

The client expressly agrees that Ree Creative liability is expressly limited to the extent of the fees paid by the client for the specific services rendered. Under no circumstances shall Ree Creative be liable for any additional, consequential, or incidental damages, including but not limited to lost profits or business interruption.

 

21. INDEMNIFICATION

The client agrees to indemnify and hold Ree Creative and its agents harmless from any claims, liabilities, costs, or expenses arising from the client's use of the provided services. This includes, but is not limited to, any third-party claims related to the client's business operations, content, or the functionality of delivered digital assets.

22. REVIEW AND APPROVAL RESPONSIBILITY

The client acknowledges that it is their responsibility to thoroughly review and approve all deliverables. Any approved work is considered final, and Ree Creative is not responsible for consequences arising from the client's use of approved materials.

 

23. TERMINATION

Either party may terminate the website development services by providing written notice to the other party. In the event of termination, the client shall pay for any services rendered up to the termination date, and Ree Creative shall deliver any completed work to the client as agreed.
